These Terms of Service (the "Terms") form a binding legal agreement between GreenPeak Capital Partners FZCO, a free zone company established in the International Free Zone Authority (IFZA), Dubai, United Arab Emirates, and the person or entity that accesses or uses the Platform ("you", "your", "Customer"). By accessing, registering for, or using the Platform, you accept and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. Definitions

"Account" means a registered user account on the Platform. "API" means any application programming interface, API key, or MCP endpoint made available by GreenPeak. "Authorized User" means an individual permitted by Customer to use the Platform under Customer's Account. "Content" means all data, text, records, profiles, scores, matches, rankings, signals, relationship graphs, contact records, organisation records, analyses, compilations, and other material made available through the Platform. "Credits" means the consumption units that meter access to certain paid features. "Database" means the compiled databases of organisations, investors, lenders, contacts, transactions, signals, and related intelligence underlying the Platform. "Output" means any Content, result, match, score, export, or response generated or returned to you through the Platform, the API, or the MCP server. "Subscription" means a paid plan granting access to the Platform for a defined period and Credit allowance.

2. Eligibility and intended use

The Platform is an institutional, business-to-business capital-markets intelligence tool intended for use by professional and institutional users in the course of their business. You must be at least 18 years of age and capable of forming a binding contract. The Platform is not directed to consumers and is not intended for any personal, household, or consumer purpose. You may use the Platform only for your own internal business purposes and only in compliance with these Terms and all applicable laws.

3. Accounts, credentials, and API keys

You are responsible for maintaining the confidentiality of your Account credentials, API keys, and any access tokens, and for all activity that occurs under your Account or keys, whether or not authorised by you. API keys and Credits are issued to, and licensed for the use of, a single Customer Account and its Authorized Users. You must not sell, sublicense, share, lease, or otherwise make your credentials, API keys, or Credits available to any third party. You must notify us immediately of any unauthorised use or suspected compromise. We may suspend or revoke credentials or keys at any time where we reasonably suspect misuse, sharing, or a security risk.

4. Subscriptions, Credits, billing, and payment

Access to paid features is governed by your Subscription tier and Credit allowance. Credits are consumed when you access metered features (including reveals, contact look-ups, exports, enrichment, and certain queries) at the rates published or shown in-product at the time of use. Unless expressly stated otherwise, Credits are valid only for the applicable billing period, do not roll over, and have no cash value. Subscriptions are billed in advance through our payment processor and, unless cancelled in accordance with the cancellation process, renew automatically for successive periods at the then-current rates. All fees are non-refundable except where required by applicable law. Fees are exclusive of taxes, duties, and levies, which are your responsibility. We may change pricing, plans, and Credit rates prospectively on notice.

5. Licence grant

Subject to your continuous compliance with these Terms and payment of applicable fees, GreenPeak grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform and to use the Output solely for your own internal business purposes during the term of your Subscription. No rights are granted other than as expressly set out in these Terms. All rights not expressly granted are reserved.

6. Acceptable use and restrictions

The value of the Platform lies in the Database and the compilation, curation, scoring, and synthesis of intelligence within it. To protect that value, you agree that you will not, and will not permit or enable any third party to: (a) access, scrape, crawl, spider, harvest, index, or extract Content or the Database by any automated or systematic means except through the API as expressly permitted and within applicable rate and Credit limits; (b) reproduce, republish, redistribute, resell, sublicense, lease, lend, broadcast, display, transfer, or otherwise make available any Content, Output, or the Database, in whole or in part, to any third party; (c) use the Platform, Content, Output, or the Database to build, train, populate, benchmark, improve, or enhance any database, product, model, or service that competes with, replicates, or substitutes for the Platform, including any machine-learning or artificial-intelligence model; (d) create derivative databases, compilations, or works from the Content or the Database, or retain Content beyond the period reasonably necessary for the permitted internal use; (e) circumvent, disable, or interfere with any access control, rate limit, Credit metering, authentication, watermark, or security or usage-monitoring measure; (f) reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, scoring logic, matching logic, or underlying data sources of the Platform, except to the extent this restriction is prohibited by applicable law; (g) share, pool, or aggregate Accounts, credentials, API keys, or Credits across multiple organisations or with any third party, or exceed the seats or usage volumes associated with your Subscription; (h) use the Platform or any contact data obtained through it in violation of any applicable law, including anti-spam, electronic-marketing, data-protection, privacy, sanctions, export-control, anti-bribery, or competition law; (i) use the Platform or any Output as a factor in establishing an individual's eligibility for credit, insurance, employment, housing, or any similar purpose, or in any manner that would subject GreenPeak or the Output to consumer-reporting or fair-credit-reporting regimes; or (j) misrepresent the source of, or remove, obscure, or alter any proprietary notice on, any Content or Output. We may monitor usage for compliance and may suspend, throttle, or terminate access for any actual or suspected breach of this Section.

7. Intellectual property and database rights

As between the parties, GreenPeak and its licensors own all right, title, and interest in and to the Platform, the Database, the Content, the Output (subject to the licence granted to you), the scoring and matching methodologies, the user interface, the software, the API, and all related intellectual property, including copyright, database rights and sui generis database rights, trade secrets, and trademarks. The Database constitutes a substantial investment by GreenPeak in obtaining, verifying, and presenting its contents, and is protected accordingly. The "GreenPeak", "GPX", and "101 Global Capital" names and logos are trademarks of GreenPeak and may not be used without prior written consent. Nothing in these Terms transfers ownership of any intellectual property to you.

8. Customer content and uploaded documents

You retain ownership of documents, briefs, teasers, and other materials you submit to the Platform ("Customer Content"). You grant GreenPeak a non-exclusive, worldwide licence to host, process, and analyse Customer Content solely to provide the Platform to you and to operate, secure, and improve the Platform. You represent and warrant that you have all rights necessary to submit Customer Content and that it does not infringe any third-party right or violate any law. You are responsible for maintaining your own copies of Customer Content.

9. Data sources, accuracy, and no reliance

The Content is compiled and synthesised from a variety of sources, including third-party and public sources, and is provided for information purposes only. GreenPeak does not represent, warrant, or guarantee the accuracy, completeness, currency, reliability, or fitness of any Content or Output. Matches, scores, rankings, and signals are informational and probabilistic and do not constitute a recommendation, endorsement, offer, solicitation, or commitment to lend, borrow, invest, or transact, and do not constitute investment, legal, tax, accounting, or other professional advice. You are solely responsible for independently verifying any information and for any decision you make. You should obtain your own professional advice before acting on any Output.

10. Privacy and personal data

The Platform processes certain business-contact and organisational information. Your use of the Platform, and any processing of personal data you carry out using Content (including contact records), is subject to applicable data-protection law, including, where relevant, the UAE Personal Data Protection Law, the EU and UK General Data Protection Regulation, and applicable electronic-marketing rules. You are an independent controller in respect of any personal data you extract or use from the Platform, and you are responsible for establishing a lawful basis, honouring data-subject rights, and complying with marketing and anti-spam laws when you contact individuals. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Confidentiality

Non-public information disclosed by one party to the other, including the Platform's non-public features, pricing, methodologies, and the non-public elements of the Database, is confidential and may be used only to exercise rights and perform obligations under these Terms, and must be protected with reasonable care. This obligation does not apply to information that is or becomes public other than through breach, was lawfully known without restriction, or is independently developed.

12. API and automated access

Use of the API is subject to these Terms and to any technical documentation, rate limits, and Credit costs we publish. We may modify, version, throttle, suspend, or discontinue the API or any endpoint at any time. You are responsible for your integration and for any consequences of your automated calls. Excessive, abusive, or non-conforming use may result in throttling, suspension, or termination.

13. Suspension and termination

We may suspend or terminate your access, in whole or in part, immediately and without liability, where you breach these Terms (including the Acceptable Use restrictions), where required by law, or where we reasonably believe your use poses a security, legal, or reputational risk. You may stop using the Platform at any time and may cancel your Subscription through the cancellation process. On termination, your licence ends, you must cease all use of the Platform and Content and delete Content in your possession except as required for legal-record-keeping, and any fees owed become due. Sections that by their nature should survive termination (including Sections 6, 7, 9, 11, 14, 15, 16, 17, and 18) survive.

14. Disclaimers

THE PLATFORM, THE CONTENT, AND THE OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. GREENPEAK DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENPEAK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. GREENPEAK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO GREENPEAK FOR THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND REGARDLESS OF THE THEORY OF LIABILITY.

16. Indemnification

You will defend, indemnify, and hold harmless GreenPeak and its affiliates and their respective officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your Customer Content, your use of any Content or contact data, or your breach of these Terms or of any applicable law.

17. Compliance, sanctions, and export

You represent that you and your Authorized Users are not subject to, and will not use the Platform in violation of, any sanctions, export-control, or trade-restriction laws, and that you are not located in, or acting on behalf of any party in, a restricted or embargoed jurisdiction. You will comply with all applicable anti-bribery, anti-money-laundering, competition, data-protection, and electronic-marketing laws in your use of the Platform.

18. Governing law and dispute resolution

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Rules, which Rules are deemed incorporated by reference. The seat of arbitration will be Dubai, the tribunal will consist of one arbitrator, and the language of the arbitration will be English. Notwithstanding the foregoing, GreenPeak may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, the Database, or confidential information.

19. Injunctive relief

You acknowledge that any breach of Section 6 (Acceptable Use), Section 7 (Intellectual Property), or Section 11 (Confidentiality) may cause GreenPeak irreparable harm for which monetary damages would be an inadequate remedy, and that GreenPeak is entitled to seek injunctive relief, without the requirement to post a bond, in addition to any other remedy.

20. Changes to the Terms and the Platform

We may modify these Terms from time to time. Material changes will be notified by posting the updated Terms with a revised "Last updated" date and, where appropriate, by other reasonable means. Your continued use of the Platform after changes take effect constitutes acceptance. We may also modify, add, or discontinue features of the Platform at any time.

21. General

These Terms, together with the Privacy Policy and any order or plan terms, constitute the entire agreement between the parties regarding the Platform and supersede all prior understandings. If any provision is held unenforceable, the remaining provisions continue in effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a reorganisation, merger, or sale. Nothing in these Terms creates any agency, partnership, or joint venture. There are no third-party beneficiaries. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
